Overview:

CenterSquare Technologies is a rapidly-growing software company that develops innovative applications and solutions that power the public experience!  We are seeking an energetic Contracts Specialist - Proposals to serve in a broad commercial contracting capacity, specializing in reviewing RFPs (Requests for Proposals), Proposals, and accompanying documentation, and ensuring all terms and conditions comport with Company’s risk acceptance standards.  In addition to general involvement in the commercial contracting process, this position will focus heavily on reviewing RFPs and participating in preparing compliant proposal responses that incorporate Company’s standard terms and conditions. This position will report to the Corporate Counsel, Commercial Contracts.

 

Job Responsibilities:

  • Support Sales and Proposals in the review of RFPs and RFIs, ensuring Company responses and proposals comport with RFP/RFI requirements and Company’s internal standards and risk tolerances;
  • Research state, local, federal, and entity-specific codes, ordinances, and statutes regarding contracting and proposal requirements;
  • Facilitate the contract documentation, approval and signature processes and ensure all contractual obligations are in adherence with company policies, regulatory requirements and business strategy;
  • Draft, review, and manage the maintenance and archiving of Non-Disclosure Agreements;
  • Assist in identifying and implementing process improvements;
  • Liaising with Proposals Team to review terms and conditions/documents received as part of a Request for Proposal (RFP, RFQ, RFI, Bid), ensuring appropriate exceptions are taken;
  • Assist in the maintenance and obtainment of certificates of insurances and performance bonds, where necessary;
  • Assist in reviewing, drafting, and negotiating sales contracts (including SaaS and Software License Agreements), maintenance and support agreements, vendor agreements, non-disclosure agreements, SOWs, amendments, change orders, and other commercial agreements;
  • Respond to FOIA requests in connection with proposals;
  • Work alongside other Legal, Contracts, and Compliance team members in developing and leading process and risk mitigation improvements within the contracts lifecycle;
  • Escalate non-standard, complex matters to appropriate internal resource;
  • Participate in the periodic template review process, ensuring industry, legal,business trends are appropriately codified; and

Skills & Requirements

Requirements:

  • Bachelor’s degree; Advanced/Graduate degree a plus;
  • Paralegal certificate preferred;
  • 3-5 years minimum experience reviewing RFPs and preparing proposals and legal/commercial contracts;
  • State and Local Gov’t Contracting experience is preferred;
  • Familiarity with software license and subscription models is preferred;
  • General understanding of insurance terminology applicable to procurement contracts;
  • Leadership ability and a desire for career growth;
  • Attention to detail and the ability to prioritize multiple tasks in order to meet tight deadlines are critical;
  • Excellent investigation skills and the ability to solve complex problems while providing excellent customer service to both internal and external customers;
  • Knowledge of software licensing and subscription models is a plus;
  • Experience drafting and negotiating;
  • Strong experience with Microsoft Office programs;
  • Excellent research, writing and communication skills;
  • Self-motivated with desire to work in a fast-paced environment;
  • Proficiency with scanning software and document/contracts/proposals database management systems a plus;
  • Willingness to travel domestically;
  • Proficiency with electronic signature applications (e.g. DocuSign) a plus; and
  • Strong interpersonal skills.
